Terms of Service

By accessing or using the ProDIP platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use our platform.

ProDIP provides an AI-powered Product Development Intelligence Platform that deploys autonomous agents to assist with product research, design, development, and optimization. The platform includes:

• Agentic software development workflows (code generation, review, testing, deployment)
• Agentic product management capabilities (signal intelligence, research synthesis, PRD generation, prioritization)
• Business intelligence integration and data processing
• Collaboration, approval, and governance tools
• API access and third-party integrations

You must register for an account to use ProDIP. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

ProDIP is offered under subscription plans as described on our pricing page or in your enterprise agreement. By subscribing, you agree to:

• Pay all applicable fees for your selected plan
• Provide valid payment information and authorize recurring charges
• Understand that fees are non-refundable except as required by law or stated in your enterprise agreement
• Accept that we may adjust pricing with 60 days written notice before your next billing cycle

You agree not to use ProDIP to:

• Violate any applicable law, regulation, or third-party rights
• Upload, process, or store data that you do not have the right to use
• Attempt to reverse-engineer, decompile, or extract source code from the platform or its AI models
• Circumvent security measures, rate limits, or access controls
• Use the platform to develop competing AI products or services
• Introduce malicious code, exploits, or automated attacks
• Misrepresent AI-generated outputs as human-created work in contexts where disclosure is legally required

Your Data

You retain all rights to data you upload or connect to ProDIP. We claim no ownership over your customer data, code, or proprietary information.

Agent Outputs

All outputs generated by ProDIP agents on your behalf — including code, documents, research, recommendations, and analyses — are owned by you, subject to any applicable open-source licenses embedded in generated code.

Platform IP

ProDIP and its underlying technology, models, algorithms, interfaces, documentation, and branding are the intellectual property of ProDIP Inc. Nothing in these Terms grants you rights to our IP beyond the limited license to use the platform per your subscription.

ProDIP deploys autonomous AI agents that take actions on your behalf. You acknowledge and agree that:

• You are responsible for configuring appropriate approval gates, access scopes, and guardrails for agent behavior
• Agents may produce outputs that require human review before deployment to production systems
• ProDIP provides audit trails and reasoning traces but does not guarantee the accuracy of every agent decision
• You should validate agent outputs against your own quality, compliance, and security standards
• ProDIP is not liable for damages resulting from agent actions that you approved or failed to configure guardrails for

For Enterprise plan customers, uptime and performance commitments are governed by the Service Level Agreement (SLA) in your enterprise contract. For all other plans, we target 99.9% platform availability but do not guarantee it. Scheduled maintenance windows will be communicated at least 48 hours in advance.

To the maximum extent permitted by law, ProDIP Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform. Our total cumulative liability for any claims shall not exceed the fees you paid to ProDIP in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless ProDIP Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

Either party may terminate this agreement with 30 days written notice. ProDIP may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the platform ceases, and we will delete your customer data within 30 days per our data retention policy. Provisions that by their nature should survive termination will remain in effect.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

We may modify these Terms from time to time. Material changes will be communicated via email and in-platform notification at least 30 days before taking effect. Your continued use of ProDIP after modified Terms take effect constitutes acceptance.
